K Sera Sera inducts three independent directors in its board

K Sera Sera Productions in a Board Meeting on Monday, 11 April 2005 informed the BSE on the induction of Independent Directors on the Board in pursuance of Clause 49 of the Listing Agreement. The three new directors on board include Dr. M.K. Sinha – Ex Chairman, State Bank Of India, Mr. A.P Naidu – Ex Vice President & Company Secretary, Indian Petrochemicals Corp Ltd, Mr. Prakash Shah – Practicing Chartered Accountant. With the induction of the three independent directors, K Sera Sera Productions has complied with the Clause 49 of the Listing Agreement, which requires that one third of the total Board of Directors of the company; should be independent directors.

Other important announcements of the Board meeting include the reconstitution of the Audit Committee, Investor Grievance Committee and Remuneration Committee and the appointment of Ms. Amruta Paranjape as Company Secretary & Compliance Officer. With this Board meeting, K Sera Sera also announced the adoption of Director’s Code of Conduct.

K Sera Sera Productions, which has business operations in, motion film production; television content production and motion film distribution had recently announced its decision to tap the capital markets to raise funds not exceeding Rs. 60 crore. The company also announced its plans to enter the national distribution network in March 2005.

K Sera Sera Productions has five major releases this year. They include D, James, My Wife’s Murder, Darna Zaroori Hai and the mega budget film, Sarkar that brings together the father - son duo Amitabh and Abhishek Bachchan.
